1. General Provisions

These Terms and Conditions (hereinafter referred to as “Terms”) govern participation in the following promotional programs offered by Bluecode Payments Nigeria (hereinafter referred to as “BCPN”): 

• The “Refer a Friend” Program 

• The “Transaction-Based Reward Scheme“ 

By participating in any of these programs, participants acknowledge and accept these Terms, along with BCPN’s Privacy Policy. These Terms apply in addition to the general terms of service for BPCN-enabled applications. 

2. Refer a Friend Program

2.1 Overview 

The “Refer a Friend” Program (hereinafter referred to as “The Program”) allows existing users of a BPCN-enabled app to invite friends or relatives to use the app. Upon successful registration and use, both parties receive a Bluecode Value Voucher (hereinafter referred to as “Voucher”). 

2.2 Eligibility 

• The Referrer must have a BPCN-enabled app linked to a bank account. 

• The Friend must: 

• Use a valid invitation from a Referrer. 

• Successfully register with a BPCN-enabled app. 

• Link a bank account and complete at least one valid BPCN transaction. 

• Friends already registered with a BPCN account are not eligible for another referral reward on the same account. 

• Referrers may not refer themselves. 

• BCPN reserves the right to disqualify participants who violate these Terms. 

• The referrer and the friend shall hereinafter be referred to as “Participants”. 

2.3 How to Refer 

Referrals can be sent via: 

• QR code scan 

• Sharing an invite link through WhatsApp, SMS, email or other platforms. 

BCPN does not process or have access to personal data shared during this process. An activation code will be issued to the Friend, which must be entered upon registration. 

2.4 Voucher Conditions 

• Upon the Friend’s valid transaction and fulfilling the eligibility criteria in section 2.2 herein, both the referrer and the friend shall receive a voucher. 

• Vouchers: 

• Are redeemable at BPCN merchant locations. 

• Are automatically applied to the participant’s next qualifying purchase. 

• They are non-transferable and not redeemable for cash. 

• May only be used at selected participating merchants’ locations 

• Shall be subject to availability and valid only during the promotional period. 

• Vouchers shall be issued within __________ period following confirmation of the qualifying transaction by the friend.  

• If a transaction exceeds the voucher value, the balance is charged to the participant’s account.  

If the transaction value is lower than the voucher amount, the balance may be carried forward for a subsequent eligible transaction, subject to the validity period of the voucher. 

• If multiple Referrers invite the same Friend, only the Referrer whose code was entered will receive the reward. The promotional period means the period commencing on _______ and ending on _________, unless extended or terminated earlier by BPCN at its discretion. 

2.5 Right to Modify, Suspend, or Terminate the Program. 

• BCPN reserves the right to modify, suspend, or terminate the Program or any related promotions at its discretion, including in the event of fraud, abuse, manipulation, breach of terms, or unforeseen circumstances. Where reasonably possible, BCPN shall notify users via the App or official website of any such changes. BCPN also reserves the right to revoke rewards or disqualify any participant found to have violated these Terms. 

3. Transaction-Based Reward Scheme

3.1 Eligibility 

To participate, individuals must: 

• Be Nigerian residents  

• Aged 18 and above.  

• Conduct qualifying transactions using BPCN at participating merchant locations. 

Each qualifying transaction may be recognized for participation in the reward scheme, subject to the applicable terms. 

3.2 Transaction Reward 

Participants may receive recognition for each qualifying transaction carried out using BPCN at designated merchant locations. 

The accumulation of recognized transactions may be used to determine eligibility for future engagement opportunities, offers, or benefits. 

Any fraudulent, altered, or invalid transactions will not be recognized and may disqualify the participant from any further consideration. 

3.3 Reward Consideration 

Participants whose transactions meet internal benchmarks or criteria may be considered for reward opportunities. 

Selection will be conducted through a secure and automated internal process. 

Details of any applicable rewards, benefits, or incentives will be communicated directly to selected participants through their registered contact details 

All rewards are non-transferable, non-exchangeable, and must be redeemed within the stipulated timeframe.  

3.4 Selection and Notification of Reward Recipients 

Participants selected for reward consideration will be notified via the communication details linked to their BPCN account. 

Unredeemed benefits or offers may lapse at the end of the applicable program period. 

3.5 Promotional Period 

The reward period shall begin on _______ and end on _________, unless extended, modified, or concluded earlier at the discretion of BCPN.   

4. Additional Legal Terms

4.1 Liability and Indemnity 

BCPN shall not be liable for: 

• Technical or system failures. 

• Lost, late or invalid entries. 

• User participation on third-party platforms (e.g., Facebook, Instagram). 

• Participation is at the user’s own risk. 

4.2 Force Majeure 

BPCN shall not be liable for any failure or delay in performing its obligations due to unforeseen and unavoidable circumstances beyond its control, including but not limited to Acts of God, terrorist attacks, labour disputes, war, natural disasters, pandemics, strikes, government actions, and internet outages. 

4.3 Publicity Rights 

By participating in this promotion, participants consent that BPCN may use their personal information, including but not limited to their name, photographs, and testimonials, for publicity, marketing, or promotional purposes related to this campaign in line with the Nigeria Data Protection Act and any of its Regulation and directives, without additional compensation.  

Participants reserve the right to withdraw consent at any time by notifying BPCN via email. 

4.4 Privacy 

All participants’ personal data will be processed in accordance with Nigerian data protection laws and BCPN’s Privacy Policy. 

4.5 Jurisdiction and Dispute Resolution 

This Program shall be governed by the laws of the Federal Republic of Nigeria. 

In the event of any dispute or difference between the Parties in relation to this Program or these Terms, the Parties shall first attempt to resolve the dispute amicably through negotiations within fourteen (14) days of the dispute arising. 

If the dispute is not resolved through negotiation within the stipulated period, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Mediation Act 2023. The arbitration shall be conducted by a sole arbitrator agreed upon by both Parties, or failing such agreement, appointed by the Lagos Court of Arbitration. The decision of the arbitrator shall be final and binding on the Parties. 

BCPN shall not be liable for any participant errors, misrepresentations, or technical malfunctions relating to software, networks, or devices beyond its control. 

This promotion is conducted in compliance with applicable Nigerian laws and does not constitute a gambling, betting, or lottery activity.   

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 

4.6 Disclaimer  

This promotion is conducted in compliance with applicable Nigerian laws and does not constitute a gambling, betting, or lottery activity.   

4.7 Social Media Disclaimer 

These promotions are not sponsored, endorsed, or administered by Facebook, Instagram, or any other social platform. Participants release these platforms from any liability.   

5 Entire Agreement 

These Terms represent the entire agreement between BCPN and participants, superseding all prior communications and representations, whether written or oral, related to these promotions. 

Each participant acknowledges that in agreeing to these Terms, the participant does not rely on any statement, representation, assurance, or warranty, whether made innocently or negligently, that is not set out in these Terms. 

BPCN shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in these Terms.
